1. Acceptance of Terms

Welcome to Paraglide AI ("Paraglide," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of Paraglide's AI-powered accounts receivable automation platform, including our website, software, applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Paraglide provides an AI-powered platform designed to automate and optimize accounts receivable processes, including but not limited to:

• Automated invoice query responses and customer communication
• Payment reminder and dunning workflow automation
• Collections process optimization and follow-up management
• Integration with accounting software and business systems
• Analytics and reporting on receivables performance

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Subscription and Payment Terms

4.1 Subscription Plans

Paraglide offers various subscription plans with different features and pricing. Subscription fees are based on the plan selected and are billed on a recurring basis (monthly or annually) unless otherwise agreed in writing.

4.2 Payment

You agree to pay all fees associated with your subscription plan. Payment is due in advance for each billing period. We accept payment via credit card, bank transfer, or other methods as specified. All fees are non-refundable except as required by law or as expressly stated in these Terms.

4.3 Price Changes

We reserve the right to modify our pricing with at least 30 days' notice. Price changes will apply to subsequent billing periods. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

4.4 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments. You are responsible for paying all such taxes except those based on our net income.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Remove, obscure, or alter any proprietary notices on the Service
• Use the Service to send spam, unsolicited communications, or harassing messages
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Collect or harvest information about other users without their consent
• Use automated systems to access the Service in a manner that sends more requests than a human can reasonably produce

6. Intellectual Property Rights

6.1 Our Rights

The Service, including all content, features, functionality, software, and technology, is owned by Paraglide and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

6.2 Your Data

You retain all rights to the data you submit to the Service ("Customer Data"). By using the Service, you grant us a limited license to process, store, and use Customer Data solely to provide and improve the Service. We will not sell or share your Customer Data with third parties except as necessary to provide the Service or as required by law.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our products and services without compensation or attribution.

7. Data Processing and Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

For customers in the European Economic Area (EEA) or United Kingdom, we act as a data processor with respect to Customer Data. Our data processing practices comply with GDPR and UK GDPR requirements. A Data Processing Agreement (DPA) is available upon request and forms part of these Terms for applicable customers.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We target 99.9% uptime but are not liable for any downtime or service interruptions.

8.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that negatively impact functionality, but we are not obligated to maintain any particular features or functionality.

8.3 Maintenance

We perform regular maintenance and updates to the Service. Scheduled maintenance will be communicated in advance when possible. Emergency maintenance may be performed without prior notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAGLIDE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR £100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Paraglide and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Customer Data or any content you submit through the Service
• Your negligence or willful misconduct

11. Termination

11.1 Termination by You

You may terminate your subscription at any time by providing written notice. Termination will be effective at the end of your current billing period. You will not receive a refund for any unused portion of your subscription.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• Your account is inactive for an extended period
• You fail to pay fees when due
• We are required to do so by law
• Continuing to provide the Service would create a security risk or legal liability

11.3 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. We will provide you with a reasonable opportunity (typically 30 days) to export your Customer Data. After this period, we may delete your Customer Data in accordance with our data retention policies.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

13. Dispute Resolution

Before initiating formal legal proceedings, we encourage you to contact us to seek an informal resolution of any disputes. Most disputes can be resolved quickly and efficiently through direct communication.

If informal resolution is unsuccessful, either party may pursue formal dispute resolution through the courts as specified in Section 12.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Paraglide regarding the Service and supersede all prior agreements and understandings.

14.2 Amendments

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.

14.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

14.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
